Terms of Service

1. Acceptance of Terms
By accessing or using the Bayeaa website, or by creating or using a Bayeaa account, you agree that these Terms govern your use of Bayeaa. Browsing our marketing website alone does not create a paid contractual obligation; additional commercial terms apply once you request access, subscribe to, or otherwise begin using the Bayeaa service.
2. Eligibility and Business Use
Bayeaa is intended primarily for use by businesses and ecommerce operators. If you use Bayeaa on behalf of a business, you confirm that you have the authority to act for and bind that business to these Terms.
3. Accounts
If you are issued access to a Bayeaa account, you are responsible for:
- Providing accurate account and business information
- Maintaining the confidentiality of your login credentials
- Actions taken by authorized users under your account
- Notifying us promptly at info@bayeaa.com if you suspect unauthorized use of your account
We will take reasonable steps to assist with a reported security concern, but we cannot guarantee recovery from every instance of unauthorized use.
4. The Service
Bayeaa provides ecommerce operations software, which may include different functions, integrations or plans depending on your subscription. Features may change, be improved, replaced or discontinued over time as we continue to develop the service.
5. Customer Data
You retain responsibility for the data and content you submit to or connect through Bayeaa ("Customer Data"). You grant Bayeaa the limited rights reasonably necessary to host, process, transmit and use Customer Data in order to provide, secure, support and improve the service, as permitted under the applicable agreement and applicable law. Bayeaa does not claim ownership of your Customer Data.
6. Merchant Responsibilities
As a merchant using Bayeaa, you are responsible for:
- The accuracy of information you provide or process through the service, where applicable
- The lawful collection and use of your own customers' data
- Messages and marketing communications you send using Bayeaa
- Obtaining any permissions or consents required under applicable law
- The products or services you sell, including order accuracy, refunds, returns and taxes
- Compliance with consumer-protection and other laws applicable to your business
- Your own shipping decisions and use of third-party providers
Bayeaa provides software to support your operation. Bayeaa is not automatically the merchant, seller, courier, advertiser or payment party in your transactions with your own customers.
7. Acceptable Use
You agree not to use Bayeaa to:
- Engage in illegal activity or fraud
- Attempt to gain unauthorized access to any system or account
- Introduce malicious code or attempt to disrupt or attack the service
- Abuse rate limits, automated tools or platform systems
- Infringe the intellectual property or other rights of any third party
- Send unlawful spam or unauthorized messaging
- Misuse customer data
- Otherwise interfere with the proper functioning of the service
8. Third-Party Services and Integrations
Some Bayeaa functionality depends on external platforms and APIs, such as Shopify, Meta services (including Facebook and Instagram), WhatsApp, and shipping or courier providers, where currently supported. Availability of these integrations depends on the relevant third-party service. Bayeaa does not control, and is not responsible for, changes, outages, restrictions, policy decisions or API availability imposed by third-party providers.
9. AI Features
Bayeaa may include AI-powered features, such as AI Agents that assist with customer conversations and order-related tasks. AI-generated responses or recommendations may not always be complete or error-free. You remain responsible for configuring, reviewing and using AI functionality appropriately for your business, and AI features are not a substitute for legal, financial or other professional advice.
10. Fees and Subscriptions
Certain Bayeaa services or plans may require payment under commercial terms presented to or agreed with you. Fees, billing periods, taxes, renewal and cancellation terms, where applicable, will be set out in the applicable order form, subscription plan, invoice or commercial agreement.
11. Suspension and Termination
We may suspend or restrict access to the service, in whole or in part, where reasonably necessary, including in cases of:
- A security risk to the service or its users
- Suspected misuse or breach of these Terms
- Unpaid amounts, where applicable
- A legal or regulatory requirement
- A threat to the service, our infrastructure, or other users
We will exercise this discretion reasonably and, where practical, aim to provide notice.
12. Intellectual Property
Bayeaa owns or licenses the Bayeaa platform, software, brand, designs and related intellectual property. Except for the limited rights described in these Terms, nothing here transfers any Bayeaa intellectual property to you. You retain ownership of your own business data and content, subject to the rights necessary for us to operate the service as described in these Terms.
13. Feedback
If you provide suggestions or feedback about Bayeaa, we may use that feedback to improve the service without any obligation to implement it or compensate you for it.
14. Service Availability and Changes
We aim to provide reliable service, but availability may occasionally be affected by maintenance, technical issues, third-party services, or events outside our reasonable control. Except where set out in a separate service-level agreement, we do not guarantee uninterrupted or error-free availability.
15. Disclaimers
The service is provided subject to the applicable commercial terms between us. To the extent permitted by applicable law, Bayeaa does not guarantee specific sales increases, revenue, delivery performance, advertising results, message delivery, uninterrupted third-party integrations, the accuracy of data originating from third parties or users, or particular AI outcomes.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Bayeaa will not be liable for indirect, incidental, special, consequential, or loss-of-profit or revenue damages arising from your use of the service. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
17. Indemnity
To the extent permitted by applicable law, you agree to indemnify Bayeaa against claims, losses or damages reasonably arising from:
- Your unlawful use of the service
- Your products, content or Customer Data
- Your violation of a third party's rights
- Your unauthorized use of customer data
- Your unlawful messaging or marketing activity
18. Governing Law and Disputes
Governing law and dispute-resolution terms may be specified in the applicable order form or commercial agreement between you and Bayeaa. Where no such terms are specified, applicable law will govern as required by the circumstances of the relevant transaction.
19. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Where a change is material, we will aim to provide notice where required or appropriate.
